These Terms and Conditions (“Terms”) govern your access to and use of the Thora mobile application, website, and related services (collectively, the “Services”), operated by Thora LLC, a limited liability company registered in the State of New York, United States.
By accessing or using Thora, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. About Thora
Thora is a psychology-informed wellbeing application designed to help users reflect on eating behaviors, emotional patterns, and daily habits through educational content, self-guided tools, and AI-powered supportive conversations. Thora is intended for personal reflection, emotional regulation, and wellbeing support only.
2. Eligibility, Age Requirements, and Minors
Thora is intended for users aged 13 years and older. Users under the age of 13 are not permitted to use the Services. When you create an account, we ask for your age or date of birth to confirm eligibility.
By using Thora, you confirm that you are at least 13 years old. If you are between 13 and 17 years old, you confirm that a parent or legal guardian has permitted you to use the Services and has reviewed these Terms and our Privacy Policy on your behalf.
For users we know to be minors, our AI features clearly indicate that the AI is automated and is not a human or a licensed professional, and we apply the additional protections described in our Privacy Policy, including no sale of their data and no advertising-related profiling.
Thora does not knowingly collect personal data from children under 13. Accounts identified as belonging to users under 13 may be terminated and associated data deleted.
3. Important Disclaimer: Not Medical or Mental Health Care
Thora does not provide medical advice, mental health treatment, diagnosis, or therapy. The Services are not a substitute for professional medical or mental health care, do not provide emergency, suicide prevention, or clinical crisis intervention services, and do not guarantee specific outcomes. If you are experiencing a medical or mental health emergency, or feel at risk of harming yourself or others, seek immediate help from local emergency services or qualified professionals.
4. AI-Powered Features
Thora uses artificial intelligence (AI). Thora includes AI-generated features designed to support emotional awareness and regulation, including an AI-powered support chat. You acknowledge and agree that AI responses are automated and may be incomplete or inaccurate, that AI does not understand your full personal, medical, or psychological context, that AI features are supportive and educational only and are not professional advice, and that Thora may limit or redirect AI interactions in situations involving potential risk.
The AI is not a human being and is not a licensed professional. Where a user is a minor, the Services make this clear inside the app. To provide these features, your inputs are processed by OpenAI, the provider of the GPT models behind our AI features, acting as our service provider under a data protection agreement. You use AI features at your own discretion and risk. Our handling of AI chat data is described in our Privacy Policy.
5. Accounts & User Responsibility
Some features require creating an account. You agree to provide accurate and current information, keep your login credentials secure, and be responsible for all activity under your account. Thora may suspend or terminate accounts that violate these Terms.
6. Subscriptions & Payments
Thora may offer free and paid subscription plans. Payments are processed through the Apple App Store or Google Play. Subscriptions renew automatically unless canceled through the relevant platform. Refunds are subject to Apple’s or Google’s policies, not Thora LLC.
7. Acceptable Use
You agree not to use the Services for unlawful, abusive, or harmful purposes, attempt to interfere with other users or system functionality, misuse AI features or provide malicious input, or reverse engineer or exploit the Services.
8. Content & Intellectual Property
All content, software, designs, text, graphics, and materials are owned by or licensed to Thora LLC. You may use the Services for personal, non-commercial purposes only.
9. User-Provided Content
The Services may allow you to submit content such as written reflections, check-ins, and messages (“User Content”). You retain ownership of your User Content. By using Thora, you grant Thora LLC a limited, non-exclusive, royalty-free license to process such content solely to provide and improve the Services.
You are solely responsible for your User Content, and you agree not to submit content that is unlawful, defamatory, harassing, or that violates the rights of others.
10. No Guarantees
Thora does not guarantee results, improvements, or outcomes. Individual experiences vary.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
To the maximum extent permitted by law, Thora LLC shall not be liable for indirect, incidental, consequential, or special damages arising from your use of the Services. To the maximum extent permitted by law, the total liability of Thora LLC for any claim arising out of or relating to the Services will not exceed the greater of the amount you paid to Thora LLC in the twelve (12) months before the claim, or one hundred U.S. dollars (USD 100).
13. Indemnification
You agree to indemnify, defend, and hold harmless Thora LLC and its officers, members, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use or misuse of the Services, (b) any content you submit, (c) your violation of these Terms, or (d) your violation of any law or the rights of any third party. This section survives termination of your account.
14. Binding Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
14.1 Informal Resolution First
Before starting any arbitration, you agree to first try to resolve the dispute informally by sending a written notice of dispute to hello@thoraapp.com describing the issue and the relief you seek. You and Thora LLC will try in good faith to resolve the dispute for at least sixty (60) days from the date the notice is received.
14.2 Agreement to Arbitrate
If the dispute is not resolved within sixty (60) days, you and Thora LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services will be resolved by binding individual arbitration, rather than in court, except as set out below. This includes claims that arose before you accepted these Terms. The Federal Arbitration Act governs the interpretation and enforcement of this section.
14.3 Arbitration Rules and Forum
The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms. The AAA rules are available at www.adr.org. The arbitration may be conducted in writing, by telephone, by video, or in person in the county where you live or another mutually agreed location.
14.4 Class Action Waiver
YOU AND THORA LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any class or representative proceeding.
14.5 Jury Trial Waiver
If for any reason a dispute proceeds in court rather than in arbitration, you and Thora LLC each waive any right to a jury trial.
14.6 Exceptions
Either party may (a) bring an individual claim in small claims court if it qualifies, and (b) seek injunctive or other equitable relief in court to protect intellectual property rights.
14.7 Your Right to Opt Out
You may opt out of this arbitration and class action waiver section within thirty (30) days of first accepting these Terms by emailing hello@thoraapp.com with the subject line “Arbitration Opt-Out” and stating your name and the email associated with your account. Opting out will not affect any other part of these Terms.
14.8 Severability
If the class action waiver in Section 14.4 is found unenforceable as to a particular claim or request for relief, that claim or request will be separated from the arbitration and may proceed in court, while all other claims will still be arbitrated.
14.9 Consumers Outside the United States
Nothing in this section removes any mandatory legal protection you have as a consumer under the laws of your country of residence. If you are a resident of the European Economic Area, the United Kingdom, Switzerland, or any other jurisdiction where a pre-dispute agreement to arbitrate or a class action waiver is not enforceable against consumers, this section does not apply to you to the extent prohibited by that law, and disputes may be brought in the courts that have jurisdiction over you.
14.10 Minors
If you are between 13 and 17 years old, this arbitration section applies only to the extent permitted by applicable law.
15. Termination
You may stop using Thora at any time. Thora may suspend or terminate access if these Terms are violated or required by law.
16. Changes to These Terms
We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
17. Governing Law
These Terms are governed by the laws of the State of New York, United States, without regard to its conflict of law rules, and subject to the arbitration provisions in Section 14.
